These Terms of Service ("Terms") govern your access to and use of AiDispatch's services, including our website, AI answering and dispatch tools, scheduling integrations, and related products (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Service.
1Eligibility and Account Responsibilities
To use AiDispatch, you must be at least 18 years old and authorized to act on behalf of the business or organization registering for the Service. You are responsible for maintaining the accuracy of your account information, including contact, billing, and dispatch preferences. You are also responsible for all activity conducted through your account and for maintaining the confidentiality of your login credentials.
2Subscription and Payment Terms
AiDispatch is offered on a subscription basis, with pricing and billing cycles specified in your Service Agreement. Fees are billed in advance and are non-refundable unless otherwise stated in writing. If you upgrade your plan, you will be charged the prorated difference immediately. If you downgrade, the changes will take effect in the next billing cycle. Late or failed payments may result in suspension of your access to the Service, and unpaid amounts may accrue interest at 1.5% per month or the highest legal rate permitted.
3Term, Renewal, and Termination
Unless otherwise stated, your subscription term is 12 months and automatically renews for successive 12-month periods. You may cancel your subscription by providing written notice at least 30 days before the end of your current term. Early termination does not entitle you to a refund of any prepaid fees. AiDispatch may suspend or terminate your account for breach of these Terms, failure to pay, legal compliance, or to protect the integrity and security of the Service.
4Use of the Service
You agree to use the Service only for lawful business purposes. You may not reproduce, resell, sublicense, decompile, or reverse engineer any part of the Service. You may not use the Service to send spam, infringe on intellectual property, violate privacy rights, or engage in any illegal activity. We reserve the right to investigate and take appropriate legal action against users who violate these restrictions.
5AI Use and Limitations
AiDispatch leverages artificial intelligence to respond to calls, schedule jobs, and communicate with leads. While we strive for high levels of accuracy and reliability, the AI is not a human agent and may occasionally misinterpret information or fail to complete tasks precisely as intended. By using the Service, you acknowledge and accept these limitations. For time-sensitive or high-risk use cases, we recommend adding human review steps. You are solely responsible for verifying any critical information handled by the AI.
6Intellectual Property Rights
All intellectual property rights in and to the Service, including software, designs, branding, and algorithms, are and will remain the exclusive property of AiDispatch and its licensors. You retain all rights to the data, content, and customer information you provide ("Client Content"). By using the Service, you grant AiDispatch a limited license to use, process, and analyze your Client Content solely for the purpose of providing and improving the Service.
7Confidentiality
Each party agrees to maintain the confidentiality of any non-public information shared in the course of using or providing the Service. This includes, but is not limited to, business processes, lead data, pricing, and operational workflows. This obligation does not apply to information that becomes publicly known through no fault of the receiving party, was lawfully known prior to disclosure, or is required to be disclosed by law.
8Data Protection
AiDispatch is committed to protecting your data. The collection, processing, and storage of personal information are governed by our Privacy Policy and, where applicable, our Data Processing Agreement. We employ reasonable administrative, technical, and physical safeguards to protect your data against unauthorized access or use.
9Service Availability and Modifications
We strive to maintain continuous access to the Service but do not guarantee uninterrupted availability. Downtime may occur due to maintenance, technical issues, or factors beyond our control. We reserve the right to modify, suspend, or discontinue parts of the Service at any time, with or without notice. In the event of significant changes, we will notify you through email or your user dashboard.
10Warranties and Disclaimers
The Service is provided "as is" and "as available," without warranties of any kind, express or implied. AiDispatch does not warrant that the Service will be error-free, uninterrupted, or suitable for your particular business purpose. You assume full responsibility for the use of the Service and any decisions made based on AI responses or system outputs.
11Limitation of Liability
To the maximum extent permitted by law, AiDispatch shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, business interruption, or data loss. Our total liability arising out of or relating to these Terms shall not exceed the total amount you paid to AiDispatch in the twelve (12) months preceding the claim.
12Indemnification
You agree to indemnify and hold harmless AiDispatch, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of your use of the Service, your violation of these Terms, or any infringement of third-party rights resulting from your content or conduct.
13Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, USA. Any dispute arising out of or relating to these Terms shall be resolved in the courts located in Delaware, unless otherwise required by law. You consent to the personal jurisdiction of such courts.
14Changes to These Terms
We reserve the right to update or revise these Terms at any time. We will notify you of material changes through the Service or via email. Your continued use of the Service after such changes take effect constitutes your acceptance of the updated Terms.
